9. REPOSTING YOUR SOCIAL MEDIA CONTENT
From time to time, the social media accounts of Vital NMX may repost a consumer's photos, experiences, or stories from their personal social media account. Vital NMX will not repost your personal social media content ("User Generated Content" or "UGC") without first obtaining your express written consent.
By agreeing to allow Vital NMX to use your UGC, you represent and warrant that (i) you own all rights to your UGC and have the right to grant Vital NMX a license to use the UGC (including any material incorporated in the UGC), (ii) you have express permission from any person, living or dead, in the UGC to use their likeness, (iii) the UGC does not contradict or infringe upon the copyrights or other intellectual property, moral rights, privacy or publicity rights, and (iv) the UGC does not in any way violate any law, nor the applicable terms of use, privacy policy, or other applicable rules or conditions of the social media platform.
Furthermore, by allowing Vital NMX to use your UGC, you agree to grant Vital NMX an irrevocable, perpetual, non-exclusive, fully paid, royalty-free, sublicensable right and license to reproduce, transmit, exhibit, comment on, edit, modify, alter, exploit, create derivative works, combine with other works, and otherwise distribute the UGC and all elements of the UGC, including, without limitation, the photo and likeness of any person incorporated therein, in any and all media now known or hereafter developed, worldwide, in perpetuity, without compensation, permission, notification, attribution, or restriction from you or any third person.
 
10. COMMUNICATION WITH US

19. MANDATORY ARBITRATION
In the event that a dispute arises under or related to this Agreement or the Products, either party may definitively and exclusively choose to resolve the dispute through mandatory arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). The arbitration panel shall consist of three (3) arbitrators. The site of arbitration shall be Miami, Florida.
 
20. CLASS ACTION WAIVER
YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
 
21. MISCELLANEOUS
This agreement is governed by the internal substantive laws of the State of Delaware, without regard to its conflict of law provisions. If this Agreement is terminated, the following provisions shall remain in full force and effect: “Payments", "Intellectual Property”, “Customer Content”, “Reposting Your Social Media Content”, “Communication with Us”, “No Warranties/Limitation of Liability”, “External Sites”, “Indemnification”, “Termination of the Agreement”, “Mandatory Arbitration”, and “Miscellaneous”.
